Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the AssisLoop platform, website, and related services (collectively, the "Service") provided by Quicklight Software LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
AssisLoop is an AI-powered booking, lead management, and customer engagement platform for service-based businesses. The Service includes AI voice and chat agents, online appointment scheduling, lead tracking, SMS and email notifications, calendar integrations, CRM integrations, and review follow-up tools.
3. Accounts and Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
- You must notify us promptly if you become aware of any unauthorized use of your account.
- You must be at least 18 years of age to use the Service.
4. Subscription Plans and Billing
- The Service is offered under subscription plans with varying features and usage limits. Plan details and pricing are available on our Pricing page.
- Subscriptions are billed in advance on a monthly or annual basis through Stripe, our third-party payment processor.
- You authorize us to charge the payment method on file for all applicable fees.
- Usage limits (AI voice minutes, SMS segments, LLM tokens) are reset at the beginning of each billing cycle. Unused usage does not carry over.
- We reserve the right to change pricing with 30 days' notice. Price changes take effect at the start of your next billing cycle.
5. Cancellation and Refunds
- You may cancel your subscription at any time through your account settings or by contacting us.
- Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
- We do not provide prorated refunds for partial billing periods.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Send unsolicited or unauthorized communications (spam) through the AI voice agent, SMS, or chat features.
- Use the AI voice or chat agents for any deceptive, fraudulent, or misleading purpose.
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
- Interfere with or disrupt the Service or the servers and networks connected to it.
- Resell, sublicense, or redistribute access to the Service without our prior written consent, except through our authorized partner program.
7. AI-Powered Features
- The Service uses artificial intelligence to handle voice calls, web chat conversations, and scheduling tasks on your behalf.
- AI-generated responses are based on the business profile, qualification questions, and event types you configure. You are responsible for ensuring your configuration is accurate and appropriate for your business.
- While we strive for accuracy, AI responses may occasionally contain errors. We do not guarantee that AI-generated interactions will be error-free.
- You are responsible for reviewing bookings, leads, and transcripts generated by the AI agents.
8. Third-Party Integrations
The Service integrates with third-party platforms including Google Calendar, Microsoft Outlook Calendar, HubSpot, Twilio, and Stripe. Your use of these integrations is subject to the respective third-party terms and policies. We are not responsible for the availability, accuracy, or actions of third-party services.
9. SMS Messaging Terms
The Service sends transactional SMS messages on behalf of businesses to end consumers who have opted in. By opting in to receive SMS messages through a business's AssisLoop booking page or during an AI voice or chat interaction, you consent to receive text messages related to your appointment.
- Message types: booking confirmations, appointment reminders, and booking status updates (confirmed, declined, rescheduled, cancelled).
- Message frequency: message frequency varies based on appointment activity. You will typically receive between 1 and 5 messages per appointment.
- Message and data rates: standard message and data rates may apply depending on your mobile carrier and plan.
- Opt-out: you may opt out of SMS messages at any time by replying STOP to any message. You will receive a confirmation and no further messages will be sent unless you opt in again.
- Help: reply HELP for assistance or contact support@quicklightsoftware.com.
- No marketing: we do not send marketing, promotional, or advertising messages via SMS.
Consent to receive SMS messages is not a condition of purchasing any goods or services. Your information will not be shared with third parties for marketing purposes. For details on how we handle your data, see our Privacy Policy.
10. Your Data
- You retain ownership of all data you submit to the Service, including business information, lead data, and booking records.
- You grant us a limited license to use your data solely to provide and improve the Service.
- Our collection and use of data is governed by our Privacy Policy.
11. Intellectual Property
The Service, including its design, code, features, AI models, and branding, is owned by Quicklight Software LLC and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.
12. Service Availability
We strive to maintain reliable access to the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as available" basis. We may perform scheduled maintenance, and the Service may be temporarily unavailable due to factors beyond our control.
13. Limitation of Liability
To the maximum extent permitted by law, Quicklight Software LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to lost revenue, lost profits, missed appointments, or errors in AI-generated communications.
Our total aggregate liability for any claim arising out of or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Quicklight Software LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Termination
- We may suspend or terminate your account if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users.
- Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
16. Changes to These Terms
We may update these Terms from time to time. We will notify account holders of material changes via email or an in-platform notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the State of Delaware.
